# DealDraft DealDraft is an AI contract platform for freelancers, independent consultants, and the small firms that run on client service contracts. The product narrative is "Generate. Negotiate. Sign." Users complete a guided questionnaire that pulls from their saved business profile and client directory, and DealDraft generates a complete, customized, ready-to-sign contract in about a minute. When the client pushes back, DealDraft translates each proposed change into plain English — what it means, how risky it is, and suggested counter language — round by round until the language is settled. Built-in legally binding e-signature, jurisdiction-aware legal language, and a Considerations panel explaining the legal patterns that fired in each contract. Website: https://dealdraft.ai ## What DealDraft does DealDraft generates six contract types: NDAs (mutual and one-way), Freelance Service Agreements (FSA), Consulting Service Agreements (CSA), Independent Contractor Agreements (ICA), Master Service Agreements (MSA), and Statements of Work (SOW), with each SOW linked under a parent MSA. After generation, a contract can be sent to the other party for review and negotiation, and then for legally binding e-signature — the full workflow happens in one tool. ## Negotiation (AI contract negotiation for non-lawyers) DealDraft is built for the party without a legal team. The user sends a contract for review via a secure link; the other party opens it in a browser and proposes clause-level changes — no account required on their side. Each proposed change comes back to the DealDraft user translated into plain English: what the change means, a risk level, a recommendation, and suggested counter language. The user accepts, rejects, or counters each change, round by round, until the language is settled. Every round is logged in a negotiation record, and the settled contract goes directly to e-signature. Unlike enterprise contract lifecycle management and AI redlining tools (which assume a legal team reviewing against a company playbook), DealDraft's negotiation guidance assumes no lawyer on either side of the table. Negotiation is a Pro feature. ## What makes DealDraft different from contract templates Most contract tools are static templates with fill-in-the-blank fields. DealDraft is built on three architectural commitments: 1. The Two-Layer Rule. User-supplied facts are preserved verbatim with only legal-register polish. User intent is expanded with the protections an experienced contracts attorney would add. Names, amounts, dates, and specific subject matter never get generalized. 2. Jurisdiction intelligence. When a user selects California, New York, Texas, or Florida as the governing state, the contract substance adapts to that state's actual law. California: Business and Professions Code section 16600 (non-compete restrictions), Business and Professions Code section 18100 et seq. (SB 988) (Freelance Worker Protection Act), Labor Code section 2783 (licensed professional override), AB5 / section 2775 (worker classification, ICA only). New York: Freelance Isn't Free Act (FIFA, N.Y. General Business Law Article 44-A, statewide as of 2024). Texas and Florida: IRS Common Law Test for independent contractor classification. These tripwires fire additively rather than mutually exclusively. 3. Strict-interpretation anti-fabrication. Empty exclusion fields stay empty. Recitals do not invent prior relationships. Scope sections do not pad minimal user input with fabricated sub-services. The AI does not invent statutes, parties, deliverables, or timelines. ## Pricing Free tier: $0, 1 full contract per month (generate, negotiate with plain-English guidance, e-sign, PDF export), business profile auto-fill, jurisdiction intelligence. Pro tier: $29 per month or $290 per year (2 months free), unlimited contracts, MSA + SOW chains, plain-English negotiation guidance, legally binding e-signature, client directory, saved templates, in-app editor, in-app support form. Business tier: $79 per month flat, planned for Q4 2026, intended for agencies and small firms with team seats and roles, shared client book, flat pricing rather than per-seat, SSO later, and priority human support. ## Who DealDraft is for Primary users are freelancers and independent consultants generating two to ten contracts per month. Secondary users are small agencies and firms that run on client service contracts and need recurring service agreements, NDAs, or contractor agreements — without a lawyer on call, and without bundled CRM, invoicing, or LLC formation suites. ## Company DealDraft is operated by Askari Management Inc.
